    The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements: "Client", "You" and "Your" refers to you, the person log on this website and compliant to the Company's terms and conditions. "The Company", "Ourselves", "We", "Our" and "Us", refers to our Company. "Party", "Parties", or "Us", refers to both the Client and ourselves.

    Governing Law & Jurisdiction

    These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.

    Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in New Jersey, and you consent to the jurisdiction of such courts for the purpose of litigating any disputes.

    Independent Contractor Status & Liability Disclaimer

    Tutors providing services through TutorsPro are independent contractors, not employees, agents, or representatives of TutorsPro. TutorsPro does not control, direct, or supervise tutors' work schedules, teaching methods, lesson plans, or interactions with students.

    Tutors are solely responsible for setting their own availability, preparing materials, and delivering tutoring sessions. As independent contractors, tutors are not covered by any employment laws applicable to employees and are responsible for all tax obligations, business registrations, and compliance with any applicable laws governing their work.

    TutorsPro does not conduct criminal background checks or verify tutors' credentials beyond the application process. Students and parents are responsible for assessing a tutor's suitability.

    TutorsPro assumes no liability for any claims, disputes, damages, or injuries arising from tutoring sessions, including but not limited to:

    • Lesson quality, academic outcomes, or dissatisfaction with services.
    • Misrepresentation of qualifications by tutors.
    • Personal or professional misconduct by a tutor.
    • Any direct, indirect, incidental, or consequential damages resulting from tutoring sessions.

    Any disputes between students and tutors must be resolved directly between the involved parties. TutorsPro is not responsible for enforcing agreements, commitments, or expectations made between tutors and students. While TutorsPro may assist in dispute resolution at its sole discretion, it is not obligated to do so.

    Financial Terms

    Non-Solicitation & Confidentiality Agreement

    To protect TutorsPro's business interests, all independent contractors, including tutors, promoters, and trainers, agree that for a period of 12 months following their last engagement with TutorsPro, they shall not directly solicit or attempt to solicit any current or former TutorsPro students or clients for private tutoring services outside of TutorsPro.

    This restriction does not prevent tutors from offering their own tutoring services independently, but they may not actively recruit or solicit clients whom they originally connected with through TutorsPro.

    Independent contractors further agree not to disclose or use TutorsPro's trade secrets, client lists, pricing structures, or internal business processes for personal gain or to benefit a competing business. Any violation of this agreement may result in legal action, including but not limited to injunctive relief and reasonable damages.

    TutorsPro reserves the right to waive or modify these terms on a case-by-case basis at its sole discretion.

    Intellectual Property & Content Usage

    All content, branding, logos, and proprietary materials on the TutorsPro platform, including website design, features, and technology, are the exclusive property of TutorsPro and may not be copied, modified, distributed, or reproduced without express written permission.

    Tutors providing services through TutorsPro retain ownership of any original lesson materials, notes, or teaching resources they create. However, by using the platform, tutors grant TutorsPro a non-exclusive, royalty-free, worldwide license to use, reproduce, and distribute these materials for educational purposes, quality control, and promotional use.

    Students are permitted to use lesson notes, explanations, and other tutoring materials provided during their sessions for personal academic purposes only. These materials may not be shared, copied, resold, or distributed outside of TutorsPro without explicit permission from the tutor and TutorsPro.

    TutorsPro is not responsible for verifying the originality of tutor-provided materials, and any disputes regarding intellectual property ownership must be resolved between the involved parties.

    We reserve the right to request that you remove all links or any particular link to our Website. You approve to immediately remove all links to our Website upon request. We also reserve the right to amend these terms and conditions and its linking policy at any time. By continuously linking to our Website, you agree to be bound to and follow these linking terms and conditions.

    If you find any link on our Website that is offensive for any reason, you are free to contact and inform us any moment. We will consider requests to remove links but we are not obligated to or so or to respond to you directly.

    We do not ensure that the information on this website is correct, we do not warrant its completeness or accuracy; nor do we promise to ensure that the website remains available or that the material on the website is kept up to date.

    • A student's academic performance, test scores, grades, or other academic outcomes before, during, or after tutoring sessions.
    • Any disputes, conflicts, or misunderstandings between students, parents, tutors, or third-party service providers.
    • The effectiveness of tutoring sessions or a tutor's ability to meet a student's academic goals.
    • Missed, canceled, or rescheduled tutoring sessions due to student no-shows, tutor availability, scheduling conflicts, or unforeseen circumstances.
    • Technical issues, including platform downtime, connection errors, audio/video disruptions, or payment processing delays outside of TutorsPro's control.
    • Any failures, errors, or disruptions caused by third-party software, including video conferencing tools, online whiteboards, messaging features, or scheduling systems.
    • Unauthorized access, data breaches, loss of personal data, or any alteration of user information due to cybersecurity risks beyond TutorsPro's reasonable control.
    • Any personal or professional decisions made based on tutoring sessions, including college applications, standardized test scores, or career planning.

    No Guarantee of Service

    TutorsPro does not guarantee:

    • Uninterrupted access to tutoring sessions or tutor availability at any specific time.
    • Continuous platform functionality, as occasional maintenance, system updates, or third-party service failures may affect usability.
    • Specific learning outcomes, test score improvements, or guaranteed academic success.

    No Warranties

    TutorsPro provides its services "as is" and "as available", without warranties of any kind, express or implied, including but not limited to:

    • Merchantability (fitness for business purposes).
    • Fitness for a particular purpose (applicability for a user's specific learning objectives).
    • Non-infringement (no violations of intellectual property rights).

    User Responsibility

    • Users assume all risks associated with the use of TutorsPro services.
    • TutorsPro shall not be held responsible for academic performance, financial losses, or professional consequences resulting from tutoring sessions.

    Indemnification

    You agree to defend, indemnify, and hold harmless TutorsPro, its affiliates, officers, directors, employees, agents, and independent contractors from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney fees) arising out of or related to:

    1. Your use of TutorsPro's platform or services.
    2. Any violation of these Terms & Conditions by you or anyone using your account.
    3. Any claims made by tutors, students, or third parties due to your actions, content submissions, or interactions.
    4. Any disputes between you and a tutor, student, or third party regarding services, fees, or performance.
    5. Your violation of any applicable laws, regulations, or third-party rights.

    TutorsPro reserves the right to assume exclusive defense in any matter subject to indemnification, in which case you agree to cooperate fully in asserting available defenses.

    About the Tutoring Sessions

    • Tutoring sessions are scheduled in 30-minute increments, with a minimum session length of one hour.
    • If a session exceeds the scheduled time, the student will be billed for the exact duration used, rather than rounding up to the nearest 30-minute mark.
    • Tutors have the right to end a session at the scheduled time. If a student requests additional time, the tutor may accept or decline based on availability.

    Time Rounding Policy:

    • If a session lasts 1 hour and 15 minutes, the student is billed for 1 hour and 15 minutes.
    • If a session lasts 1 hour and 45 minutes, the student is billed for 1 hour and 45 minutes.

    Billing & Overage Charges:

    • Any additional time beyond the original booking will be automatically logged and billed accordingly.
    • Tutors are required to log session times accurately, and students are responsible for reviewing their session logs.

    This policy ensures fair and transparent billing based on actual time spent in tutoring sessions.

    Dispute Resolution & Arbitration

    In the event of a dispute between a User (student, tutor, or third party) and TutorsPro, both parties agree to first attempt to resolve the issue through informal negotiations. If no resolution is reached within 30 days, the dispute shall be resolved through binding arbitration.

    • Arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
    • Arbitration shall take place in New Jersey, and the arbitrator's decision shall be final and legally binding on both parties.
    • Users waive their right to file lawsuits in court, except as outlined below.

    Exception for California Residents

    If you are a resident of California, you may choose to bring an individual claim in small claims court in your county of residence, provided the claim qualifies for small claims under California law.

    No Class Actions

    Users agree that any claims against TutorsPro must be brought individually and not as part of a class action, consolidated lawsuit, or representative proceeding.

    Modifications & Updates to These Terms

    TutorsPro reserves the right to modify, update, or revise these Terms & Conditions at any time. Changes will become effective immediately upon posting on our website, unless stated otherwise.

    • If a change materially affects users' rights or obligations, we will provide notice via email or a prominent notification on the platform.
    • Users are responsible for reviewing these Terms periodically to stay informed of any changes.
    • Continued use of TutorsPro's platform after modifications constitutes acceptance of the revised Terms.
    • If a user does not agree to the updated Terms, they must discontinue use of TutorsPro's services.
